The following terms constitute an agreement between you and Healthful Data, Inc. (“HDI” and HealthfulData), the operator of www.JoinHealthful.com and www.HealthfulData.com (the “Sites”). This agreement governs any contest or promotion offered by Healthful Data, Inc. as described below.

By Benchmarking your Health^TM you register on the Site to take part in our Healthful Benchmarking^TM, then in addition to the terms that are applicable to all users of the Site, the terms that are found on this page shall apply to you too.

• Healthful Data, Inc. is the sole host and promoter of each Healthful Contest^TM published on www.HealthfulData.com and www.JoinHealthful.com

• Every individual who Benchmarks their Health^TM between January 1st and March 31, 2024 at Noon US Pacific time will be eligible to win a $450 gift card with no cash value on March 31st of that same year.

• In order to receive their gift card prize, winners will be asked to complete a 45-minute recorded interview about their experience with Healthful Data. Failure to complete the interview results in forfeit of their prize and an alternative winner will be selected. Healthful Data will have ownership and and rights to use this video recording without limitation. Winners waive all rights to the use of the video or recording.

• To be eligible to win, those Benchmarking their Health^TM must be 18 years of age or older and be residents of the United States of America and its territories. Healthful Data, Inc. reserves the right to conduct verification of name, address, email address, and phone number or collect a copy of an individual winner’s US driver’s license or other state-issued identification to ensure that there is no fraud in the information provided. Any fraud discovered, as determined at the sole discretion of Healthful Data, Inc., including but not limited to providing false information or otherwise attempting to submit more than one entry in a six month period, will be grounds for disqualification. Healthful Data, Inc. reserves the right to revoke any prizes even if fraud is suspected but cannot be proven beyond a reasonable doubt.

• Entry may occur by either Benchmarking your Health^TM at www.JoinHealthful.com and www.HealthfulData.com or by emailing Contact@JoinHealthful.com and including your full name, US residential address, email address, and phone number.

• All prizes are in the form of an electronic gift card to a prominent US retailor such as Starbucks with no redeemable cash nor any exchange value.

• Prizes subject to verification of each Healthful Story^TM entry and limited to one prize per individual.

• The prize(s) that may be awarded to the eligible winner(s) are not transferable, redeemable for cash or exchangeable for any other prize.

• Participants must provide valid and accurate contact information.

• If a winner cannot be contacted or is disqualified for any reason, Healthful Data, Inc. reserves the right to determine an alternate winner or not to award that winner’s prize, in its sole discretion.

• By participating, where allowed by law, all participants and winner(s) grant Healthful Data, Inc. exclusive permission to use their names, characters, photographs, voices, video, likenesses, and other shared information in connection with promotion of this and other contests and waive any claims to royalty, right, or remuneration for such use.

• By participating in the contest, where allowed by law, participants agree that Healthful Data, Inc. may disclose personal information obtained from participants in the contest to third parties and use such information for marketing and other purposes.

• By participating in the contest, each participant and winner waives any and all claims of liability against Healthful Data, Inc., its employees and agents, the contest’s sponsors and their respective employees and agents, for any personal injury or loss which may occur from the conduct of, or participation in, the contest, or from the use of any prize.

• In order to receive a prize, participants must sign and submit an official waiver form provided by Healthful Data, Inc.

• If the named winner does not accept the appropriate waiver and release and agree to conduct and schedule the required video interview within 48 hours of first contact, then Healthful Data, Inc. will be unable to award that winner the prize, and will select an alternative winner. This alternative winner will be similarly contacted, and if no waiver acceptance is received from the alternative winner within 48 hours of that contact, then no Gift Card will be awarded in that week’s sweepstakes.

• Healthful Data, Inc. will email the Gift Card winners to accept our waiver and release. If the named winner does not accept the appropriate waiver and agree and schedule the required recorded video interview within 48 hours of first contact, then Healthful Data, Inc. will be unable to award that winner the prize, and will select an alternative winner. The first winner would have voided their win through their failure to respond to our outreach. In addition, in no cases shall a prize be awarded without completion of the recorded video interview. The alternative Gift Card winner will be similarly contacted, and if no reply or waiver acceptance is received within 48 hours from the alternative winner, then a second alternative winner will be selected and notified. The second alternative Gift Card winner will be similarly contacted, and if no waiver acceptance is received from the alternative winner within 48 hours, then a third alternative winner will be selected and notified. If neither the first nor two alternative winners selected respond to accept our waiver and release within 48 hours of first contact respectively, then Healthful Data, Inc. reserves the right to continue to name winners until such winner accepts our waiver and completes the required interview OR to not award any Gift Card for that sweepstakes drawing.

• Each winner must submit proof of eligibility and sign Healthful Data, Inc.’s release form to claim the prize.

• Healthful Data, Inc. may substitute prizes, amend the rules or discontinue the contest at any time as announced.

• Healthful Data, Inc. disclaims any responsibility to notify participants of any aspect related to the conduct of the contest.

• All entries become the property of Healthful Data, Inc. and will not be returned.

• The conduct of the contest is governed by the applicable laws of the United States of America, which take precedence over any rule to the contrary herein.

• Only US citizens are eligible to win prizes at this time.

• Healthful Data, Inc. shall follow the applicable laws for conducting contests, including notice to the state attorney general or consumer affairs office, posting of a prize bond, furnishing lists of winners, running specific on-air disclaimers, providing specific written information about the contest, etc. as required by local and state law.

• Winners will be chosen on March 30th at Noon Pacific time for the $450 gift card prize, and on June 29th at Noon Pacific for the $450 gift card prize. At no point will the total amount of gift cards awarded to any individual household exceed $475 in any six month period.

• Winners will be selected at random and at the sole discretion of Healthful Data, Inc. Healthful Data, Inc. reserves the right and sole discretion to revoke any win at any time for any reason whatsoever, but in particular for suspicion of fraud, including but not limited to using fake identification, participating more than once in six months, or otherwise seeking to defraud Healthful Data, Inc.

• We will request the ability to publish the names of every winner submitted to the each Healthful Contest^TM. However, if the winner objects to their name being shared, we will not be able to release their name.

• Odds of winning will vary each week depending on the number of individuals who participate in Healthful Benchmarking^TM  each week. We will notify participants directly if the odds of winning each week at any point become less than 1 in 10,000.

1. Eligibility: This Campaign is open only to those who Benchmark their Health^TM at https://thrive.joinhealthful.com/auth/login and who are residents of the United States of America and its territories and are 18 years old or older as of the date of entry. The Campaign is only open to legal residents of US and its territories and is void where prohibited by law. Employees of Healthful Data, Inc., its affiliates, subsidiaries, advertising and promotion agencies, and suppliers, (collectively the “Employees”), and immediate family members and/or those living in the same household of Employees are not eligible to participate in the Campaign. The Campaign is subject to all applicable federal, state, and local laws and regulations. Void where prohibited.

2. Agreement to Rules: By participating, the Contestant (“You”) agree to be fully unconditionally bound by these Rules, and You represent and warrant that You meet the eligibility requirements. In addition, You agree to accept the decisions of Healthful Data, Inc. as final and binding as it relates to the content of this Campaign.

3. Campaign Period: Entries were accepted from January through March 31, 2024.

4. How to Enter: The Campaign must be entered by submitting an entry using the form provided at https://thrive.joinhealthful.com/module/module-details/644fecc2cfdfcb9ae45b6f61. The entry must fulfill all Campaign requirements, as specified, to be eligible to win a prize. Entries that are incomplete or do not adhere to the rules or specifications may be disqualified at the sole discretion of Healthful Data, Inc. You may enter only once every six months. You must provide the information requested. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. If You use fraudulent methods or otherwise attempt to circumvent the rules, your submission may be removed from eligibility at the sole discretion of Healthful Data, Inc.

5. Prizes: The Winner(s) of the Campaign (the “Winner”) will receive a gift card with no cash value for the single gift card prize awarded on March 31st or gift card with no cash value for the single gift card prize awarded on March 31st of each year. Actual/appraised value may differ at time of prize award. The specifics of the prize shall be solely determined by Healthful Data, Inc. No cash or other prize substitution shall be permitted except at Healthful Data, Inc.’s discretion. The prize is nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of Winner. No substitution of prize or transfer/assignment of prize to others or request for the cash equivalent by Winner is permitted. Acceptance of prize constitutes permission for Healthful Data, Inc. to use Winner’s name, likeness, video recording, and entry for purposes of advertising and trade without further compensation unless prohibited by law.

6. Odds: The odds of winning depend on the number of eligible entries received each week. We will notify participants if at any point during a given week odds decrease below 1 in 100,000.

7. Winner Selection and Notification: Winner will be selected by a random drawing under the supervision of Healthful Data, Inc. Winner will be notified by email within five (5) days following selection of Winner. Healthful Data, Inc. shall have no liability for Winner’s failure to receive notices due to spam, junk e-mail, or other security settings or for Winner’s provision of incorrect or otherwise non-functioning contact information. If Winner cannot be contacted, is ineligible, fails to claim the prize within 48 hours from the time award notification was sent, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited and an alternate Winner selected. Receipt by Winner of the prize offered in this Campaign is conditioned upon compliance with any and all federal, state, and local laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY WINNER (AT HEALTHFUL DATA INC.‘S SOLE DISCRETION) WILL RESULT IN WINNER’S DISQUALIFICATION AS WINNER OF THE CAMPAIGN, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

8. Rights Granted by You: By entering content (e.g., answers to survey questions, photo, video, text, etc.), You understand and agree that Healthful Data, Inc., anyone acting on behalf of Healthful Data, Inc., and Healthful Data, Inc.’s licensees, successors, and assigns, shall have the right, where permitted by law, to print, publish, broadcast, distribute, and use in any media now known or hereafter developed, in perpetuity and throughout the World, without limitation, your entry, name, portrait, picture, voice, likeness, image, statements about the Campaign, and biographical information for news, publicity, information, trade, advertising, public relations, and promotional purposes. without any further compensation, notice, review, or consent. By entering this content, You represent and warrant that your entry is an original work of authorship, and does not violate any third party’s proprietary or intellectual property rights. If your entry infringes upon the intellectual property right of another, You will be disqualified at the sole discretion of Healthful Data, Inc.. If the content of your entry is claimed to constitute infringement of any proprietary or intellectual proprietary rights of any third party, You shall, at your sole expense, defend or settle against such claims. You shall indemnify, defend, and hold harmless Healthful Data, Inc. from and against any suit, proceeding, claims, liability, loss, damage, costs or expense, which Healthful Data, Inc. may incur, suffer, or be required to pay arising out of such infringement or suspected infringement of any third party’s right.

9. Terms & Conditions: Healthful Data, Inc. reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Campaign should virus, bug, non-authorized human intervention, fraud, or other cause beyond Healthful Data, Inc.’s control corrupt or affect the administration, security, fairness, or proper conduct of the Campaign. In such case, Healthful Data, Inc. may select the Winner from all eligible entries received prior to and/or after (if appropriate) the action taken by Healthful Data, Inc.. Healthful Data, Inc. reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Campaign or website or violates these Terms & Conditions. Healthful Data, Inc. has the right, in its sole discretion, to maintain the integrity of the Campaign, to void votes for any reason, including, but not limited to: multiple entries from the same user from different IP addresses; multiple entries from the same computer in excess of that allowed by Campaign rules; or the use of bots, macros, scripts, or other technical means for entering. Any attempt by an entrant to deliberately damage any website or undermine the legitimate operation of the Campaign may be a violation of criminal and civil laws. Should such an attempt be made, Healthful Data, Inc. reserves the right to seek damages to the fullest extent permitted by law.

10. Limitation of Liability: By entering, You agree to release and hold harmless Healthful Data, Inc. and its subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from: (i) such entrant’s participation in the Campaign and/or his/her acceptance, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited to the malfunction of any computer, cable, network, hardware, or software, or other mechanical equipment; (iii) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Promotion; (v) electronic or human error in the administration of the Promotion or the processing of entries.

11. Disputes: THIS Campaign IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND DELAWARE, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Campaign, participant agrees that any and all disputes that cannot be resolved between the parties, and causes of action arising out of or connected with this Campaign, shall be resolved individually, without resort to any form of class action, exclusively before a court located in [your state/province] having jurisdiction. Further, in any such dispute, under no circumstances shall participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Campaign). Participant further waives all rights to have damages multiplied or increased.

Note: a privacy policy is optional, but may be required when running a promotion on the web when using third party platforms or when using features from social channels. Including this information makes it clear to your users how you are going to use their information.

13. Winners List: To obtain a copy of the Winner’s name or a copy of these Official Rules, mail your request, the referenced Sunday Drawing Date, along with a stamped, self-addressed envelope to: Healthful Data, Inc. 1523B NW 64th Street Seattle, WA 98107. Requests must be received no later than 2 weeks after the requested Drawing Date.

15. Facebook: If you use Facebook to communicate or administer a contest or sweepstakes, include the following: The Campaign hosted by Healthful Data, Inc. is in no way sponsored, endorsed, administered by, or associated with Facebook.

Contributor and Respondent Content Copyright, Royalties, and Commercial Use

By contributing content to JoinHealthful.com, all Contributors, Healthful Survey^TM Respondents, and others visiting JoinHealthful.com agree and are legally bound to recognize that all such contributed content will be 100% owned by Healthful Data, Inc. Copyright shall be owned, without limitation, by Healthful Data, Inc. Credits in all contributions will read “© Healthful Data, Inc.” unless specified otherwise in written advance signed agreement by both the Contributor and Healthful Data, Inc. Royalties from the publication of any content provided by the Contributor to JoinHealthful.com and from the disposition of any subsidiary rights therein (including but not limited to films, television and merchandising) shall be 100% owned by Healthful Data, Inc. All original content provided by the Contributor, and the proceeds from the sale of such original content, shall remain the sole property of Healthful Data, Inc.

Any and all materials (which shall be treated as set forth in other provisions of this Privacy Policy and our Terms and Conditions of Use), including without limitation surveys, physician responses, suggestions, feedback, ideas, concepts, comments, illustrations and other materials that you disclose or offer to us on or in connection with this Site or any Site Materials (“Submissions”) are submitted by you without any restrictions or expectation of confidentiality. You hereby assign to HDI without additional consideration or further obligation, all rights now known or hereafter existing to use, allow others to use, or assign the right to use, the Submissions. No Interference with Operation of Site

Access, tamper with or use areas of the Services not intended for you, areas of the Services you haven’t been invited to, or content or data on or available through the same. Probe, scan or test the vulnerability of any portion of the Services or to breach, circumvent, modify or willfully tamper with security or authentication measures. Provide or use “tracking” or monitoring functionality in connection with the Services, including, without limitation, to identify any other person’s actions or other activities on the Services. Use the account, username, or password of another User of the Services at any time or disclose your password to any third party or permit any third party to access your Account. Collect usernames, user id numbers, and/or email addresses of Users by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Services, or employing third party promotional sites or software to promote profiles for money. We will delete or request the removal of any content, and even terminate Accounts, at our discretion and without liability, for unacceptable or prohibited use. We may choose not to give notice or explanation. Healthful Contributor Conduct

You must not use the Services in any way that causes, or is likely to cause, the Services or access to it to be interrupted, damaged or impaired in any way. You understand that you are responsible for all electronic communications and content sent from your computer to us and you must use the Services for lawful purposes only. Certain features of the Services may allow you to forward material via email or social media to addressees and/or social media accounts specified by you. By using such features, you represent, warrant and confirm to HDI that you have the consent of all recipients to send such communications.

If you submit, post or upload content through the Services, you will ensure the content is not illegal, obscene, abusive, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties, or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of “spam”. Harassment in any manner or form on the Services, including via e-mail, chat or social media or by obscene or abusive language is strictly forbidden. Impersonation of others, including a HDI employee, host, or representative, or other members or visitors on the Services is prohibited. You must not upload to, distribute, or otherwise publish through the Services any content which is libelous, defamatory, or otherwise objectionable, or which may constitute or encourage a criminal offence, violate the rights of any party or otherwise give rise to liability or violate any law.

If you are a copyright owner or an agent thereof and believe that any User Submission or other content at this Site infringes upon your copyright, you may submit a written notification pursuant to the Digital Millennium Copyright Act (“DMCA”) (see 17 U.S.C. 512(c)(3) for further information) by providing our Copyright Agent (listed below) with the following information: (i) an electronic or physical signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed; (ii) a description of the copyrighted work claimed to have been infringed or if multiple copyrighted works are covered by a notification, a representative list of such works at our Site; (iii) a description of the location on the Site of the allegedly infringing material(s); (iv) your address, telephone number, and email address; (v) a written statement that you have a good faith belief that use of the material(s) in the manner complained of is not authorized by the copyright owner, its agent, or the law; and (vi) a written statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Contributor Password and Login Identity

You are responsible for maintaining the confidentiality of your member password and login, and are fully responsible for all activities that occur under your password or account with or without your knowledge. If you knowingly provide your login and password information to another person, your membership privileges may be suspended temporarily or terminated. You agree to immediately notify HealthfulData of any unauthorized use of your Contributor password or login or any other breach of security.

Links to Other Websites

HealthfulData may contain links to other websites that are not under the control of HealthfulData. The inclusion of any link does not imply endorsement by HealthfulData of such site and HealthfulData is not responsible for the content of such linked sites.

Contributor Termination

You agree that HealthfulData may, with or without cause, immediately terminate your HealthfulData Contributor status or limit or terminate your access to the Contributor Areas or the Site without prior notice. Without limiting the foregoing, the following may lead to a termination by HealthfulData of a Contributor’s status and use of the Site: (a) breaches or violations of this Agreement or other incorporated agreements or guidelines, (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated Contributorship cancellation), (d) unexpected technical issues or problems, and (e) extended periods of inactivity. HealthfulData has no obligation to maintain, store, or transfer to you information or data that you have posted on or uploaded to the Site.

Modifications of this Agreement

We reserve the right to modify this Agreement at any time, and without prior notice, by posting amended terms on this Site. We encourage you to review this Agreement periodically for any updates or changes, which will have an update effective date.

Fees

Contributing to JoinHealthful.com is currently free. Healthful Data, Inc. reserves the right to from time to time change the terms of this Agreement and charge for Contributors and/or to provide additional optional services for a fee.

Disclaimer of Warranties

The Site and the content and services made available on the Site are provided on an “as is” and “as available” basis. HealthfulData does not make and disclaims all express and implied warranties and representations, including, but not limited to, any implied warranty of fitness for a particular purpose, with regard to the Site, the Site content, or any advice or services provided through the Site to the extent permitted by law. HealthfulData does not warrant that access to the Site or its content or services will be uninterrupted or error-free or that defects in the Site will be corrected.

The advice, recommendations, information, and conclusions posted or emailed by other members of the Site are not in any way vetted, approved or endorsed by HealthfulData, and you use such information at your own risk.

Limitations of Liability

Under no circumstances shall HealthfulData, its partners, contributors, agents, employees, directors, or affiliates be liable for any indirect, incidental, special, or consequential damages (even if it has been advised of the possibility of such damages) due to your use of this Site or due to your reliance on any of the content contained or the services provided on the Site.

Indemnification

You agree to indemnify and hold harmless HealthfulData, its officers, employees, agents, subsidiaries, affiliates and other partners, from and against any claims, actions or demands, liabilities and settlements including without limitation, reasonable legal and accounting fees, resulting from, or alleged to result from, your violation of this Agreement.

International Contributors

HealthfulData makes no claims that information on the Site is appropriate or may be downloaded outside of the United States. Personal information (“Information”) that is submitted to this Site will be collected, processed, stored, disclosed and disposed of in accordance with applicable U.S. law and our Privacy Policy. If you are a non-U.S. User/Contributor, you acknowledge and agree that HealthfulData may collect and use your Information and disclose it to other entities outside your resident jurisdiction. In addition, such Information may be stored on servers located outside your resident jurisdiction. U.S. law may not provide the degree of protection for Information that is available in other countries. By providing us with your Information, you acknowledge that you consent to the transfer of such Information outside your resident jurisdiction as detailed in our Privacy Policy. If you do not consent to such transfer, you may not use this Site.

Contributor Notices

If you register as a Contributor, you agree that HealthfulData may send notices to you by email at the email address and/or social media information and/or other contact information you provide when registering to become a Contributor (or which you later update using the functionality of the Site).

Governing Law and Venue

This agreement shall be governed by the laws of the State of Delaware and the applicable federal laws of the United States of America. All disputes arising under, or in any way connected with membership in or use of the Site, shall be litigated exclusively in the state and federal courts residing in the State of Delaware, and in no other court or jurisdiction. You hereby submit to the jurisdiction of the state and federal courts sitting in the State of Delaware.

Miscellaneous Terms

Healthful Data® and the Healthful Data logo are trademarks of Healthful Data, Inc. You agree not to display or use these trademarks in any manner without HealthfulData‘s prior written permission.

HealthfulData may assign this agreement at any time to a subsidiary or parent company or to a successor to its business as part of a merger or sale of substantially all of its assets. You may not assign or transfer this agreement.

If any provision of this Agreement is held to be unenforceable for any reason, the remaining provisions will be unaffected and remain in full force and effect.
